Compliance Model

Indra Group has a Compliance Model comprised of the Criminal Risk Prevention Model and the Competition Law Risk Prevention Model, which are aimed at fostering a culture of compliance and preventing any activity that violates the law in the context of our businesses.

Indra Group's Compliance Model, the manuals that are part of it (Criminal Risk Prevention Manuals and Competition Law Risk Prevention Manuals), the Code of Ethics, and its supporting regulations have all been designed in line with the best practices and highest international standards of good governance. They articulate the Indra Group Board of Directors' firm commitment to the active and effective prevention and mitigation of, among other things, the risks of committing crimes, anti-competitive practices, and the most significant impacts on sustainability. This is in line with the ESG criteria defined in the Sustainability Policy and, ultimately, with the integrity and responsibility that should guide professional conduct for the development and maintenance of a strong culture of compliance.

Code of Ethics and Legal Compliance

The Board of Directors of Indra Group, through the Code of Ethics and Legal Compliance, communicates a message of firm commitment to all its stakeholders: a commitment to complying with the applicable legislation in all local and international markets where the company operates commercially, as well as a strong opposition to the commission of any irregularity that in any way contravenes the provisions of the Code of Ethics, its internal development regulations, or applicable legislation.

Ethical Commitments for Indra Group's Suppliers

Indra Group will ensure that its own suppliers are subject to principles of conduct equivalent to those outlined in the Indra Group Code of Ethics, extending this to their respective supply chains. Suppliers will conduct their business relationships based on principles of business ethics, competitiveness, and quality, and must comply with the rules of conduct contained in this Code of Ethics as well as with international agreements and the laws in force and applicable in each of the markets in which they operate.

Direct Channel

Indra Group provides all its professionals and collaborators, as well as other third parties with a legitimate interest depending on the circumstances, with the Direct Channel. This channel is part of Indra Group's Internal Information System, regulated in accordance with applicable national and international legislation. The Direct Channel is intended to i) allow professionals and collaborators to fulfill their duty to report any illegal behavior, irregularity, or detected infringement that is contrary to the Code of Ethics and its internal development regulations, in accordance with the Direct Channel Policy, and ii) to raise questions about any doubts that may arise regarding the application or interpretation of the Code of Ethics and its internal development regulations.

Portugal: Plano de Prevenção de Riscos de Corrupção

O Governo de Portugal aprovou o Decreto-Lei n.º 109-E/2021, de 9 de dezembro de 2021, que cria o Mecanismo Nacional Anticorrupção e aprova o Regime Geral de Prevenção da Corrupção (a seguir RGPC).

Com a finalidade de prevenir, detectar e sancionar atos de corrupção e infrações conexas, o RGPC estabelece a obrigação de adotar e implantar um Programa de Cumprimento Normativo (a seguir PCN) para as empresas cobertas, que deverá incluir, pelo menos, os seguintes elementos:

  • Plano de prevenção de riscos de corrupção e infrações conexas (a seguir, PPR);
  • Código de conduta;
  • Canal de denúncias;
  • Programa de formação;

As filiais e sucursais da Portugal contam com um PCN em conformidade com as disposições do Decreto Lei que, para os efeitos do mesmo, foi determinado que seja o Manual de Prevenção de Riscos Penais das Filiais Internacionais que, por sua vez, inclui o denominado PPR.

O Manual de Prevenção de Riscos Penais define o modelo de Prevenção de Riscos Penais da companhia, estabelecendo as medidas de controle que a mesma possui para evitar que seus profissionais e colaboradores incorram em ilícitos de caráter penal.

A implementação do PPR está sujeita ao controle, entre outros mecanismos, mediante a elaboração de dois relatórios: i) um no mês de outubro, de avaliação intermediária em situações detectadas de risco ALTO ou MUITO ALTO e ii) outro no mês de abril, de avaliação anual, em particular sobre a quantificação do grau de aplicação das medidas preventivas e corretivas identificadas, bem como a previsão de sua plena aplicação.
